Terms of Service

Welcome to NestClip! These Terms of Service ("Terms") govern your access to and use of the NestClip video collaboration and publishing platform. By using NestClip, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using NestClip, you agree to these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, you may not use our services.

2. Description of Service

NestClip is a video collaboration and multi-platform publishing platform that enables:

• Content creators and editors to collaborate on video projects
• Secure file sharing up to 300GB per file
• Project-based workflow management with comments and feedback
• Direct publishing to social media platforms (YouTube, Instagram, TikTok, Facebook, LinkedIn, X)
• Organization and team management
• Secure cloud storage for video content (powered by Cloudflare R2)

3. Account Registration

3.1 Account Creation

To use NestClip, you must:

• Be at least 13 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information if it changes

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

4. Subscription Plans and Billing

4.1 Pricing Plans

NestClip offers the following subscription tiers:

• Starter Plan: $59/month - 1TB cloud storage
• Professional Plan: $139/month - 3TB cloud storage
• Enterprise Plan: $349/month - 9TB cloud storage

Storage limits apply across all projects within your organization. There are no per-seat charges for adding editors to your organization.

4.2 Billing

• Subscriptions are billed monthly in advance
• Payments are processed securely through Stripe
• Automatic renewal unless cancelled before the next billing cycle
• No refunds for partial months or unused storage

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Your data will be retained for 30 days after cancellation for potential reactivation.

4.4 Storage Overages

If you exceed your storage limit, you will be notified and required to upgrade your plan or delete content within 7 days. Failure to do so may result in restricted access to upload features.

5. User Content and Ownership

5.1 Your Content

You retain all ownership rights to the videos, files, and content you upload to NestClip ("Your Content"). By uploading content, you grant NestClip a limited license to store, process, and display your content solely to provide our services.

5.2 Content Restrictions

You agree not to upload content that:

• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is illegal, defamatory, or violates third-party rights
• Contains child sexual abuse material (CSAM)
• Promotes violence, terrorism, or hate speech
• Violates any applicable laws or regulations

5.3 Content Monitoring

While we do not actively monitor all content, we reserve the right to review, remove, or refuse to publish any content that violates these Terms or applicable laws.

5.4 Backup and Data Loss

While we implement robust backup systems, you are responsible for maintaining your own backups of important content. We are not liable for any data loss.

6. Organization and Team Management

6.1 Roles and Permissions

NestClip supports three user roles:

• Owner: Full control, billing access, can delete organization
• Admin: Can invite/remove users, manage projects, access settings
• Editor: Can view and edit assigned projects

6.2 Invitations

Organization owners and admins can invite editors at no additional cost. Invitations expire after 7 days if not accepted. You may revoke access to any team member at any time.

6.3 Multi-Organization Membership

Users may be members of multiple organizations. Each organization is billed separately based on its subscription plan.

7. Social Media Integration

7.1 Platform Connections

NestClip allows you to connect your social media accounts for direct publishing. By connecting these accounts, you authorize NestClip to publish content on your behalf.

7.2 Third-Party Terms

Your use of social media platforms through NestClip is subject to each platform's terms of service. You are responsible for compliance with all third-party platform policies.

7.3 Revocation

You may disconnect social media integrations at any time. This does not affect content already published to those platforms.

8. Acceptable Use Policy

You agree not to:

• Use NestClip for any illegal purposes
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Use automated means to access the service without permission
• Impersonate others or misrepresent your affiliation
• Share account credentials with unauthorized users
• Reverse engineer or attempt to extract source code
• Use the service to store or distribute malware

9. Intellectual Property

NestClip, including its software, design, logos, and trademarks, is owned by NestClip and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

10. Privacy and Data Security

Your use of NestClip is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NESTCLIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO NESTCLIP IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

NESTCLIP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the service will be uninterrupted, secure, or error-free.

13. Indemnification

You agree to indemnify and hold harmless NestClip from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of third-party rights.

14. Service Modifications and Termination

14.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of NestClip at any time with reasonable notice.

14.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or applicable laws
• Engage in fraudulent activity
• Fail to pay subscription fees
• Abuse the service or other users

14.3 Effect of Termination

Upon termination, your access to NestClip will cease. You will have 30 days to download your content before permanent deletion.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where NestClip operates, without regard to conflict of law principles.

15.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or through the platform at least 30 days in advance. Continued use after changes constitutes acceptance.

17. Miscellaneous

17.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and NestClip.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
